Gaithersburg-Based VoIP Provider BroadSoft Raises $1.5M - CBL

GAITHERSBURG -- BroadSoft Inc. has raised $1.5 million through an equity offering, according to a Reg D filing with the U.S. Securities and Exchange Commission.

BroadSoft is a Gaithersburg, Md.-based provider of voice-over-Internet protocol (VoIP) applications to the telecommunications industry.

Principals named in the filing include President and CEO Michael Tessler and other executive officers Mary Ellen Seravalli, Scott Hoffpauir, Robert O' Neill and James Tholen. Directors named are: Jay Markley of Alexandria, Va.-based Columbia Capital LLC, Joseph Zell of Vienna, Va.-based Grotech Partners VI LP, Robert Goodman of New York-based Bessemer Venture Partners, Michael Tessler, Philip Livingston, Douglas Maine and Andrew Miller.

Michaler Tessler
President and CEO

Michael Tessler brings over 20 years of business strategy and technology experience to his role as co-founder. As CEO and president of BroadSoft, Michael is focused on bringing advanced carrier-grade communications systems to service providers worldwide.

At Alcatel USA, as Vice President of Engineering in the Celcore organization, Michael was responsible for all product development activities for several product lines. A member of the senior staff, Michael participated in business strategy, helped manage the day-to-day, business activities, and led the business development activities in China.

Prior to Alcatel, Michael held numerous senior management roles at Nortel and founded and led a services development business unit that helped local exchange carriers build and deploy advanced services on their digital networks. Michael has two patents in the area of local switching, AIN, and advanced call management services and was a recent winner of Ernst & Young's Entrepreneur of the Year.

He has a B.S. and M.S. in Electrical Engineering from McGill University in Montreal, Canada.

Scott Hoffpauir
CTO

As Chief Technology Officer, Scott Hoffpauir is responsible for guiding the technical vision and direction for BroadSoft as well as promoting continuous product innovation. Driving the company's strong reputation of leadership and innovation, Scott manages BroadSoft's engineering, operations and product management functions.

Scott began serving as a co-founder and Vice President, Engineering of BroadSoft in 1998. Prior to BroadSoft, Scott was Director of GSM Development at Celcore (DSC/Alcatel USA). In this role, he was responsible for all product development on the GSM switching product. Before Celcore, he was senior architect for Nortel's GSM and Inter-Exchange Carrier switching systems. Scott holds multiple patents in the GSM, SIP, call processing and switching areas.


He attended the University of Louisiana at Lafayette. Scott is a fan of Lynyrd Skynyrd.

James Tholen
CFO

James Tholen brings more than 20 years of financial and strategic management experience to BroadSoft. In his role, James oversees BroadSoft's financials, accounting, and risk management operations. James has been instrumental in ensuring BroadSoft's continued growth and long-term viability. In 2008, he orchestrated the acquisition of two of the company's larger competitors. James continues to foster financial discipline across the organization to reach company objectives.

James served as chief financial officer (CFO) and chief operating officer (COO) at NetSec, Inc., a managed security services company acquired by MCI (now Verizon Business). Prior to NetSec, he served as chief strategy officer and CFO for CareerBuilder.com and was a founding member of CareerBuilder's board of directors. James was an integral player in growing CareerBuilder into the number two company in the Internet recruiting and job market segment. He helped architect its initial public offering, and later sale, to leading newspaper companies. Prior to CareerBuilder, James was COO and CFO for FTP Software, and CFO at The Compucare Co. He also served as vice president of corporate development at Legent Corp., and was a technology investment banker at Morgan Stanley & Co.

In 2009, James was named the Greater Washington's Private Company CFO of the Year.

He holds a B.S. in Economics from Davidson College and M.B.A. from Yale University. He lists summiting peaks in Colorado as his favorite hobby.

Robert O'Neil
Vice President, Worldwide Sales

Robert O'Neil brings over 20 years of executive sales experience in the telecommunications industry to his role as senior vice president of sales. Overseeing the development and execution of sales strategies to drive BroadSoft's expansion in both new and existing markets, Bob has a proven track record of driving exceptional growth and revenue generation through strategic sales for both established and start-up companies.

A seasoned telecommunications industry executive, Bob most recently acted as the CEO of Covergence, Inc. and was responsible for setting the company's strategic direction, as well as guiding its go-to-market activities. Prior to Convergence, Bob has held senior positions at Ciena, WaveSmith Networks (acquired by Ciena), Cascade Communications (acquired by Lucent Technologies), and Aptis Communications (acquired by Nortel Networks). Additionally, Bob was a venture partner with Bessemer Venture Partners, where he focused on companies in the communications industry.

He has a B.S. in Chemistry from Plymouth State University.

Mary Ellen Seravalli
Vice President and General Counsel

As Vice President and General Counsel, Mary Ellen Seravalli brings over twenty-five years of legal expertise to BroadSoft. Mary Ellen acted as Executive Vice President, Co-General Counsel and Corporate Secretary to The Mills Corporation, a real estate investment trust, where Mary Ellen was responsible for all legal aspects of the company's corporate operations. Prior to The Mills Corporation, Mary Ellen provided legal support to ScoreBoard, Inc., a company that provided network optimization software for wireless carriers.

Mary Ellen has shown her breadth of legal knowledge and experience, having negotiated mergers and acquisition agreements, partnership and joint venture arrangements, and corporate-level debt and equity financing arrangements. She also has extensive experience in securities law, public company and human resource compliance matters, and more.

She graduated Magna Cum Laude from the University of Connecticut and has a J.D. from George Washington University.
