David Borinsky

Rosenberg Martin Greenberg, a mid-sized business law firm headquartered in Baltimore, MD with offices in Annapolis, MD and Wilmington, DE, is pleased to announce that David Borinsky has joined the firm as Of Counsel in its Real Estate, Tax & Wealth Planning and Business Planning & Transactions groups.

For more than 30 years, David has represented business and real estate entrepreneurs nationwide. He advises his clients on the tax and non-tax challenges of structuring ownership of operating businesses and real estate entities. David’s clients are located throughout the United States – including the Mid-Atlantic region, the Midwest, and points south -- and include both large owners and smaller entrepreneurial shops.

David’s practice includes experience in real estate acquisition and finance; buyouts of partners in multi‐entity real estate portfolios; sales to umbrella partnership real estate investment trusts; family limited partnerships; restructuring of C‐Corp assets; allocation provisions for partnerships with tax‐exempt partners; sales of multiple entity (i.e., C‐Corp, S‐Corp, LLC, LP) family businesses to publicly traded firms; exempt organizations; succession planning; lease negotiation; tax‐free reorganizations.Recently, he has teamed up informally with non-lawyer food service experts in order to comprehensively address the needs of clients interested in large scale domestic and international expansion. He also has experience in international tax matters, including the structuring and taxation of inbound investments.

Prior to joining RMG, David was engaged in financing and overseeing the renovation of real estate in the greater Baltimore area. He was fortunate enough to run his passion project: Come Home Baltimore (CHB). CHB buys boarded up houses in a blighted east Baltimore neighborhood, renovates them to a high finish and sells to unsubsidized middle income homebuyers. As part of CHB’s value proposition, CHB has contributed mightily to the emergence of a neighborhood of involved and active homeowners. Buyers are attracted not only by the high gloss finish to the homes but also by the enhanced sense of community. This project was reported on by ABC News, the London Times, the Los Angeles Times, Christian Science Monitor and other local Baltimore broadcast and print media. David also spent time as the Chair of the tax department at a mid-sized Baltimore-based law firm.

David lectures and writes on taxation, exempt organizations and other business topics. He taught as an adjunct in the Graduate Tax Program at the University of Baltimore School of Law. He has lectured informally at the University of Maryland Francis King Carey School of Law.David earned his J.D. and B.A. from the University of Virginia, and his Masters in Tax Law from New York University. He is admitted to practice in the State of Maryland.
