Stephanie K. Baron advises and represents businesses in all aspects of traditional labor and employment law matters. She has extensive experience in drafting, enforcing, and defending against non-competition and other restrictive covenant agreements. She also regularly investigates and defends businesses against allegations of harassment, discrimination and retaliation, and also violations of the FMLA, FLSA and ADA. In addition to her litigation experience, she regularly counsels employers in the areas of human resource management, personnel practices and policies, employee handbooks, OFCCP compliance and affirmative action obligations, and Equal Pay Act analyses. Her traditional labor law experience includes strike contingency planning and related issues. She also advises management on issues related to plant closures and related requirements under existing collective bargaining agreements.
Joseph L. Beavers focuses on the representation of policyholders in insurance coverage litigation. He regularly advises clients regarding risk management issues, including the procurement and maintenance of insurance assets. He also conducts forensic insurance coverage investigations, reconstructing and analyzing historic insurance assets. He represents and advises policyholders regarding insurance coverage issues arising from environmental claims, lead-paint claims, mold claims, D&O claims, business interruption claims, and various other mass tort claims.
Joseph G. Billings has more than 30 years of experience in assisting government contractors with litigation, alternative dispute resolution, bid protests and transactional issues. He represents clients in a variety of litigation forums and handles various matters, including contract claims; disputes between subcontractors and prime contracts; claims of tortious interference; qui tam suits under the Civil False Claims Act; and defense against white collar criminal allegations of false claims, including defective pricing, product substitution and false certification of business size. He also represents clients in debarment and suspension proceedings. In addition to litigation, he assists clients with a broad spectrum of transactional issues, advises on compliance matters, and counsels on preserving intellectual property rights at both the pre- and post-award stages.
Michael E. Blumenfeld maintains a diverse business law practice concentrating on the representation of local, regional and national businesses in a wide range of commercial matters. He has successfully litigated a broad array of disputes related to business breakups, complex construction projects, medical negligence, employment and non-compete agreements and trade secrets. Blumenfeld has experience in mass tort litigation, representing large publicly traded companies. Although his practice focuses primarily on commercial litigation, he also represents financial institutions and community lenders in bankruptcy, loan recovery and real estate transactions.
Todd M. Reinecker provides litigation services in connection with a wide variety of commercial and business disputes. Reinecker has significant experience with complex commercial litigation at both the trial and appellate level and counsels clients across a broad spectrum of issues including, among other areas, contractual claims, disputes over the acquisition/disposition of businesses, business tort claims, such as claims for fraud and misrepresentation, breach of fiduciary duty, wrongful termination and unfair competition, disputes arising among equity holders of corporations and partnerships, claims against directors, officers and boards of directors, intellectual property issues, governmental inquiries and internal investigations and emergency matters, such as injunctions, receiverships or attachments before process.
Douglas S. Walker represents numerous local and national financial institutions in a variety of commercial financing transactions and collection matters In addition, he handles a wide variety of general business matters for clients, including advising clients in mergers and acquisitions, sales, reorganizations, joint ventures and buy-sell agreements. He also represents individuals and developers in commercial real estate transactions, including development, financing, acquisition and the preparation and negotiation of declarations, easements and other real estate development documents.
Joseph P. Ward represents businesses in a variety of corporate and securities matters. His practice includes domestic and cross-border mergers and acquisitions, reorganizations, leveraged buy-outs, venture capital and other private debt and equity investments, spin-offs, joint ventures, the formation of private investment funds, and the drafting and negotiation of commercial agreements. Ward also provides general corporate advice to both private and public companies regarding corporate governance, securities compliance, Maryland corporate law, and other general business matters.
